TIKNINJA TERMS OF USE
1. About these Terms
These Terms govern access to and use of TikNinja, including its website, Windows software, creator and administrator dashboards, livestream tools, overlays, alerts, widgets, animations, audio tools, upload facilities, APIs, browser-source URLs, subscriptions, downloads and support services (the Services). TikNinja is operated by Merseyview Media Ltd (Trading as Tikninja), registered in England and Wales under company number 17137126, with registered office at 71-75 Shelton Street, Covent Garden, London, WC2H 9JQ.
2. Acceptance and eligibility
By registering, purchasing, downloading, installing or using any Service, you agree to these Terms. You must be legally capable of entering this agreement. If you act for a business or organisation, you confirm that you have authority to bind it. Do not use the Services if you do not agree.
3. Accounts and security
You must provide accurate, current information and keep it updated. You are responsible for protecting passwords, API keys, browser-source tokens, licence details and devices, and for activity under your account. You must notify us promptly of suspected unauthorised access. You may not sell, transfer, share or sublicense an account except where a package expressly permits managed team access.
4. Licence to use TikNinja
Subject to payment and compliance with these Terms, we grant you a limited, revocable, non-exclusive, non-transferable licence to use the Services for your own lawful creator, livestream or business activity. The licence does not transfer ownership. You may not copy, resell, redistribute, publish source code, remove ownership notices, defeat access controls, create a competing service from protected components, or reverse engineer the software except to the limited extent that applicable law expressly permits and cannot be excluded.
5. TikNinja intellectual property
TikNinja software, source and object code, interface designs, databases, documentation, branding, original graphics, sample overlays, animations, sounds, templates, workflows and other supplied materials are owned by or licensed to Merseyview Media Ltd (Trading as Tikninja). Copyright and other intellectual-property rights are reserved. You may use included creator assets within TikNinja outputs and livestreams in accordance with your package, but may not sell or distribute the standalone assets or claim ownership of them.
6. Your content and permissions
You retain rights you lawfully hold in content you upload. You grant us a non-exclusive, worldwide, royalty-free licence to host, copy, process, resize, transcode, display and transmit that content only as reasonably required to operate, secure, back up and support the Services. You are solely responsible for your uploads and outputs.
7. Copyrighted images, video, audio and branding
You must only upload or use images, photographs, video, music, sound recordings, fonts, logos, trademarks, performances or other material that you created, own, have a valid licence or permission to use, or may lawfully use under an applicable statutory exception. Finding material online, purchasing a personal copy, crediting an owner, or using only part of a work does not by itself give permission. You must respect licence conditions, attribution requirements, performers' rights, moral rights, privacy rights and publicity rights. You must not use TikNinja to remove ownership information or disguise infringement.
8. Prohibited and illegal activity
You must not use the Services to create, upload, publish, transmit or promote content or conduct involving illegality; fraud; scams; malware; phishing; unauthorised surveillance; threats; harassment; stalking; hateful or extremist material; sexual exploitation; child sexual abuse material; non-consensual intimate imagery; trafficking; controlled drugs; weapons offences; infringement; impersonation; doxxing; unlawful gambling; money laundering; evasion of sanctions; or instructions materially facilitating serious wrongdoing. You must not use overlays or alerts to mislead viewers about gifts, donations, endorsements, affiliations, competitions or results.
9. Platform and technical abuse
You must not attack, overload, scrape or probe the Services; bypass authentication, package limits, payment, licences, rate limits or security controls; access another user's data; inject harmful code; manipulate events or engagement; automate abusive requests; interfere with livestreams; or use TikNinja in breach of TikTok, ByteDance, OBS, streaming-platform or app-store rules. Testing security requires our prior written permission and an agreed scope.
10. Creator responsibilities
You are responsible for reviewing outputs before publication, maintaining backups of source media and project files, configuring livestream software safely, protecting browser-source URLs, and ensuring that dynamic text, text-to-speech, alerts and audience interactions are appropriate. Automated moderation and filtering may not identify every harmful or infringing item.
11. Third-party services
TikNinja may interoperate with TikTok LIVE, TikTok Studio, OBS, payment processors, email services, hosting providers or other third parties. Those services are governed by their own terms and may change or become unavailable. TikNinja is independent and is not affiliated with or endorsed by TikTok or ByteDance unless expressly stated.
12. Reports, takedowns and cooperation
Rights owners and affected persons may report suspected infringement or unlawful content to our published contact address. A report should identify the work or right, the material and its location, the reporter's authority, contact information and a good-faith explanation. We may restrict access, preserve relevant records, request further information, remove content, suspend accounts and cooperate with lawful requests. Knowingly false or abusive reports are prohibited.
13. Moderation and enforcement
We may investigate suspected breaches and take proportionate action, including warnings, removal, feature restrictions, token revocation, suspension or termination. We may act without notice where reasonably necessary for security, legal compliance or prevention of harm. Enforcement does not make us responsible for user content and does not guarantee that all breaches will be detected.
14. Subscriptions, payments and renewal
Prices, billing intervals and included limits are shown at purchase. You authorise applicable charges. Subscriptions may renew until cancelled where stated. Failed, reversed or overdue payments may result in restricted access. Statutory consumer rights are unaffected. Any refund entitlement is governed by applicable law and the published Refund Policy.
15. Updates and changes
We may provide security patches, fixes and feature updates. You should install important updates promptly. We may change Services where reasonably required for security, law, third-party compatibility or product improvement. Material changes affecting paid service will be communicated where reasonably practicable.
16. Availability, backups and beta features
Services are provided on an as-available basis. Maintenance, hosting incidents, internet failures and third-party changes may cause interruption. Beta, preview or experimental features may be incomplete or withdrawn. Although operational safeguards may be used, you must keep independent copies of important media, configurations and projects.
17. Disclaimers
We do not guarantee audience growth, revenue, gifts, rankings, availability on third-party platforms, or that content will comply with every law or platform rule. Compatibility information is guidance, not a substitute for testing. Nothing excludes obligations or warranties that cannot lawfully be excluded.
18. Liability
Nothing in these Terms excludes liability for death or personal injury caused by negligence, fraud, fraudulent misrepresentation, or liability that law does not permit us to exclude. Subject to that, we are not liable for indirect or consequential loss, loss of profit, revenue, opportunity, goodwill, followers, gifts or data. For business users, our aggregate liability arising from the Services is limited to fees paid for the affected Service during the twelve months preceding the event, unless a higher minimum is required by law.
19. Indemnity for business users
If you use the Services for business purposes, you will indemnify Merseyview Media Ltd (Trading as Tikninja) against third-party claims, reasonable costs and liabilities arising from your unlawful content, infringement, breach of these Terms or misuse of the Services, except to the extent caused by our own breach or negligence.
20. Termination and effect
You may stop using the Services and cancel as provided in your account. We may suspend or terminate access for material breach, non-payment, security risk, unlawful activity or repeated infringement. On termination, your licence ends and browser-source links or hosted content may cease to work. Clauses intended by their nature to continue, including ownership, liability and governing law, survive.
21. Privacy
Personal data is handled under the Privacy Policy. Uploads may contain personal data; you are responsible for having a lawful basis and providing any notices required for your collection and use of that data.
22. General terms
If a provision is unenforceable, the remaining provisions continue. Delay in enforcement is not a waiver. You may not transfer this agreement without written consent; we may transfer it as part of a business reorganisation or sale without reducing applicable consumer rights. These Terms and referenced policies form the agreement concerning the Services.
23. Governing law and contact
These Terms are governed by the laws of England and Wales. The courts of England and Wales have jurisdiction, subject to any mandatory consumer right to bring proceedings elsewhere in the UK.
